These Terms of Service (“Terms”) govern your access to and use of www.betheconnector.com, the Be The Connector membership platform, chapter participation, applications, memberships, referrals, guest tools, resources, and related services provided by Be The Connector LLC (“Be The Connector,” “BTC,” “we,” “us,” or “our”).
By accessing the website, submitting an application, purchasing or using a membership, creating an account, or using BTC services, you agree to these Terms and the BTC Privacy Policy. If you do not agree, do not use the website or services.
Eligibility and Authority
You must be legally able to enter into a binding agreement. If you use BTC on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
Applications and Approval
Submitting an application or completing a payment step does not guarantee acceptance, create immediate membership, or reserve a chapter or business category indefinitely. Applications may be approved, denied, placed on hold, waitlisted, or require additional information based on chapter fit, category availability, payment status, eligibility, conduct, and other reasonable membership considerations.
Membership access begins only after BTC approves the application and completes the applicable account and membership setup. BTC may correct duplicate, incomplete, inaccurate, or conflicting application and membership records without creating an additional charge.
Memberships
A BTC membership is personal to the approved member and the approved business context. It may not be sold, assigned, transferred, shared, or used by another person without written BTC authorization.
A person may hold or be authorized to access more than one approved membership. Each membership may have its own chapter, category, permissions, billing, cancellation date, activity, and historical record. Cancellation or suspension of one membership does not automatically cancel another unless BTC confirms otherwise.
Chapters and Business Categories
BTC may organize memberships by chapter, location, meeting schedule, membership type, business category, or role. Where BTC designates a category as protected or exclusive within a chapter, one active membership will ordinarily represent that category unless BTC approves an exception or different structure.
BTC determines category definitions, availability, conflicts, exceptions, reassignment, waitlist handling, and chapter structure. Category representation does not create ownership of a category, geographic territory, chapter, market, customer base, franchise, or exclusive right outside the approved membership context. It does not guarantee referrals or business opportunities.
Fees, Billing, and Renewal
Membership fees, billing frequency, and any applicable credits or promotional terms are disclosed during application, checkout, or a separate written agreement. Unless stated otherwise, recurring memberships automatically renew at the applicable billing interval until canceled.
You authorize BTC and its payment processor to charge the payment method connected to the membership for recurring fees and other authorized amounts. You are responsible for keeping billing information current. Failed, disputed, reversed, or unpaid payments may delay approval, restrict access, place a membership on hold, or result in suspension or cancellation.
BTC may change membership pricing or plan terms prospectively with reasonable notice. Any protected or grandfathered rate applies only according to the written terms associated with that membership and may not be transferable.
Cancellation and Refunds
Unless BTC states otherwise in writing, a member-requested cancellation normally takes effect at the end of the current paid billing period. The membership may remain active through the effective cancellation date, and recurring billing will stop according to the confirmed cancellation schedule.
Cancellations apply to the selected membership. Members with multiple memberships must cancel each membership separately unless BTC confirms a broader cancellation in writing.
Fees are generally nonrefundable once charged, and BTC does not provide prorated refunds or credits for unused time unless required by law or expressly approved in writing. Refund review, when available, is separate from a cancellation request.
After cancellation, BTC may preserve membership, payment, referral, ROI, attendance, chapter, and account history for legitimate administrative, legal, reporting, fraud-prevention, and record-retention purposes.
Participation and Member Conduct
Members agree to participate professionally, provide accurate business information, respect chapter standards, protect confidential information, and avoid conduct that harms BTC, a chapter, another member, a guest, or the public.
You may not use BTC to:
- Harass, threaten, discriminate against, defame, deceive, or unlawfully contact another person
- Send spam, scrape member information, create unauthorized contact lists, or misuse directory data
- Misrepresent your identity, business, credentials, category, services, or authority
- Upload malicious code, interfere with the platform, bypass access controls, or attempt unauthorized access
- Share private referrals, notes, member information, or account credentials with unauthorized people
- Use BTC for unlawful, fraudulent, or abusive activity
Referrals and Business Relationships
BTC supports relationships, introductions, referrals, follow-up, and reporting, but BTC does not guarantee leads, referrals, sales, revenue, ROI, attendance, chapter growth, or any other business result.
Members make their own independent decisions about whom to refer, hire, recommend, or do business with. BTC does not endorse, warrant, supervise, or guarantee the products, services, licensing, insurance, conduct, financial condition, or performance of any member, guest, applicant, or third party.
You are responsible for your own due diligence, contracts, professional obligations, regulatory compliance, taxes, insurance, customer relationships, and business decisions. BTC is not a party to transactions or disputes between members or between a member and a third party unless BTC separately agrees in writing.
Member Profiles, Directory Information, and Submitted Content
You retain ownership of content you submit, subject to any third-party rights. You grant BTC a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display, and distribute submitted content as reasonably necessary to operate the website, member directory, chapter tools, resources, communications, and services.
You represent that submitted content is accurate, lawful, and does not violate another person’s privacy, intellectual property, contractual, or other rights. BTC may edit formatting, remove content, or restrict visibility when reasonably necessary for accuracy, safety, consistency, legal compliance, or platform operation.
Guest Invitations
Members may invite guests using BTC tools. The inviting member is responsible for providing accurate guest information and for having a reasonable basis to submit the guest’s contact details. Guests may decline invitations or request suppression of future invitation emails.
Chapter Leaders and Roles
Chapter-leader, facilitator, officer, administrator, or similar roles are subject to BTC approval, permissions, standards, and removal. A chapter role does not create ownership of a chapter or territory and does not authorize a person to bind BTC, enter contracts on behalf of BTC, collect or control BTC funds, or make commitments outside the authority expressly granted by BTC.
Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify BTC promptly if you suspect unauthorized use. BTC may require password resets, identity verification, or other security measures.
Electronic Communications
You consent to receive electronic communications reasonably related to applications, payments, memberships, chapters, meetings, referrals, guests, account access, security, support, and service updates. Electronic notices satisfy any requirement that communications be in writing where permitted by law.
Intellectual Property
The BTC name, logos, branding, website design, software, workflows, training materials, documents, text, graphics, and other BTC-created materials are owned by BTC or its licensors and are protected by applicable intellectual property laws. Except as expressly authorized, you may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from BTC materials or systems.
Third-Party Services
BTC may use or link to third-party services, including payment processors, email providers, video platforms, calendars, maps, file-hosting services, analytics, and other tools. Third-party services are governed by their own terms and privacy policies. BTC is not responsible for third-party services outside our reasonable control.
Platform Availability and Changes
BTC may update, suspend, restrict, replace, or discontinue parts of the website or services. We do not guarantee uninterrupted or error-free operation. Maintenance, security events, third-party outages, internet conditions, and other circumstances may affect availability.
Suspension and Termination
BTC may suspend, restrict, deny, or terminate access or membership for nonpayment, chargeback, fraud, misuse, material violation of these Terms or BTC standards, safety concerns, legal risk, category or eligibility conflicts, or conduct that materially harms BTC or its members. Where reasonable, BTC may provide notice or an opportunity to address the issue, but immediate action may be taken when necessary.
Disclaimer of Warranties
To the fullest extent permitted by law, the website, platform, chapters, resources, and services are provided “as is” and “as available.” BTC disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted availability, accuracy, or business results.
Limitation of Liability
To the fullest extent permitted by law, BTC and its owners, officers, employees, contractors, chapter leaders, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost revenue, lost opportunities, lost data, reputational harm, or business interruption arising from or related to BTC, a chapter, a referral, a member relationship, the website, or the services.
To the fullest extent permitted by law, BTC’s aggregate liability arising from or related to a particular membership will not exceed the membership fees actually paid to BTC for that membership during the three months immediately preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless BTC and its owners, officers, employees, contractors, chapter leaders, and agents from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your business, conduct, submitted content, referrals, transactions, violation of law, violation of these Terms, or infringement of another person’s rights.
Governing Law and Disputes
These Terms are governed by the laws of the state in which Be The Connector LLC is organized, without regard to conflict-of-law principles. Before filing a legal claim, the parties agree to make a good-faith effort to resolve the dispute informally. Nothing in this section prevents either party from seeking urgent injunctive relief or using a court with lawful jurisdiction when necessary.
Changes to These Terms
BTC may update these Terms as services, membership rules, or legal requirements change. Material changes will be posted on this page or communicated through reasonable electronic notice. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
General Terms
These Terms, the Privacy Policy, and any applicable written membership or payment terms form the agreement between you and BTC concerning the services. If a written agreement signed by BTC conflicts with these Terms, the signed agreement controls for that conflict. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
